Chișinău, Calea Ieșilor str. 10B, tel.: 373 22 829727, email: [email protected], www.infobiz.md, represented by Antonina Ceban-Bejenaru, Administrator, empowered based on the articles of association, hereinafter referred to as “INFODEBIT” or the Provider, pursuant to the Civil Code approved by Law no. 1107/2002, Law no. 1069/2000 on Informatics, Law no. 142/2018 on Data Exchange and Interoperability, Law no. 122/2008 on Credit Bureaus, Law no. 284/2004 on Electronic Commerce, Law no. 305/2012 on the Reuse of Public Sector Information and Law no. 195/2024 on Personal Data Protection.

2. Subject of the contract

2.1. For purposes compliant with the law, the Provider undertakes to provide informational services by carrying out efficient data exchange, and the User undertakes to receive them and pay the corresponding price.

3. Subscription price

 

3.1. The prices of the services displayed on the website www.infobiz.md are official and are expressed in Lei/Euro, including VAT and all related taxes, in accordance with the legislation in force. The prices are applicable at the moment the order is validated by the client. If the price of the service or some of its characteristics have been incorrectly displayed on www.infobiz.md, we reserve the right to cancel the provision of the service and notify the client as soon as possible about this situation.

 

3.2. The User shall receive a monthly invoice indicating the subscription fee and the amount of additional services consumed.

 

3.3. The subscription fee is a current monthly payment which is mandatory and grants the user the right to benefit from the services established in the subscription agreement.

 

3.4. The price of the services used is included in the monthly subscription fee, and in the event of consumption exceeding the monthly subscription fee, the user shall pay additionally according to the tariff plan.

 

3.5. If the user has not used the services included in the monthly subscription, they shall be considered used during that month with the obligation to fully pay the monthly subscription fee.

 

3.6. The subscription fee shall be calculated starting from the date of signing the Contract, based on the number of days remaining until the end of the month.

 

3.7. The User benefits from preferential prices by using the selected subscription and/or credit limit.

 

4. Conditions and technical parameters under which data exchange takes place

 

4.1. The subscription may be modified (migration to another subscription) by accessing the settings menu in the User’s personal account or through a written request (in the form of an electronic document or a signed paper document) addressed to INFODEBIT, the receipt of which has been confirmed.

 

4.2. Migration to another subscription shall be carried out with a 3-day prior notice before the end of the month. The conditions for using InfoBIZ services are stipulated in the annex to this contract (Technical Annex).

 

5. Rights, obligations and responsibilities of the participants in the data exchange

 

5.1. For non-payment of the invoice within 7 days from the invoice issuance date, the User shall pay a late penalty amounting to 20 lei per day of delay. The total amount of the late penalty may exceed the amount of the principal debt. INFODEBIT, on its own initiative, may suspend the provision of services and/or unilaterally terminate the contract if the User has outstanding payment obligations under this contract, in case of loss of credibility and/or violation of lawful business practices contrary to the terms and conditions of use of the InfoBIZ service and/or contrary to the law, if it is established that the documents submitted for concluding the contract were false.

 

5.2. In the event of termination of the contract, the user undertakes to fully pay the contract price based on the payment invoices. INFODEBIT has the right to modify the structure and/or price of the services depending on negotiations with data providers, as well as depending on any other factors that may influence the price of this Contract.

 

5.3. The modifications shall be displayed through the www.infobiz.md webpage or communicated to users through any other public means of communication.

 

5.4. INFODEBIT may establish an individual Credit Limit higher than the standard one, corresponding to the value of the monthly subscription fee, paid post-factum after using the service, which may also be reduced by INFODEBIT at its own discretion and at any time to the minimum value corresponding to the subscription fee. The credit limit is established depending on the status (resident or non-resident) and solvency of the User as a legal entity, the type and number of subscriptions and additional services requested, registered invoiced and uninvoiced consumption, the User’s history regarding the fulfillment or non-fulfillment of contractual obligations and other objective aspects. In the event of exceeding the Credit Limit, the User is liable for the entire debt created and for the effects of access suspension. Maximum consumption limit. The User may request the establishment of a maximum monthly consumption limit, thus limiting the total cost exceeding the monthly subscription fee. The maximum consumption limit shall be indicated in point 5 of the Contract. The maximum consumption limit may be modified upon written request received from the User within a maximum of 3 days from the receipt of such request by INFODEBIT.

 

6. Dispute resolution procedure

 

6.1. The validity of this contract or all other issues or disputes resulting from its interpretation, execution or termination shall be governed by the legislation of the Republic of Moldova.

 

6.2. The Parties undertake to make every effort to settle amicably any problem or dispute that may arise.

 

6.3. The Parties agree that if the dispute arisen is not resolved amicably or by the International Arbitration Court attached to the Association of Liquidators and Administrators of the Republic of Moldova, it shall be resolved by the competent court of law of the Republic of Moldova.
